Spetz Creator Terms
These Spetz Creator Terms (the "Creator Terms") are an agreement between you (the "Creator," "you," or "your") and Spetz ("Spetz," "we," "us," or "our"). They apply when you apply to join Spetz as a creator and for as long as you take part. You accept them by ticking the box on the creator application. If you apply on behalf of a creator (for example, as their manager or agency), you confirm that you are authorised to accept these Creator Terms for that creator, and "you" means the creator as well.
Our general Terms of Service and Privacy Policy also apply. If they conflict with these Creator Terms on anything about your participation as a creator, these Creator Terms govern.
1. What Spetz builds for you
If we accept your application, we use the Spetz platform (the "Platform") to turn the videos you choose, and others you add later, into interactive projects, automatically and with the help of AI-based tools. Depending on the project, this includes:
- Project Pages: an interactive page for each project, with a step-by-step build guide based on your video;
- Tools and materials: a curated list of the tools and materials the project needs, with product descriptions, recommendations, and shopping links;
- HandyMate: an AI assistant that answers your audience's questions about the build, including questions your video doesn't explicitly cover;
- Customization and visualization: features that let viewers see the project in their own space or in different colors, sizes, or finishes;
- Your Creator Space: a page on Spetz that brings all your Project Pages together in one place;
- Your Creator Backoffice: where you can review and suggest edits to your projects, add your affiliate details, and see how people use your guides; and
- any other features we add over time (together, the "Services").
We decide which applications we accept, which videos we build, and when. The Platform is under active development, so features may change, be added, or be removed.
2. Your account and using the Platform
We give you a personal, non-exclusive, non-transferable right to use the Platform and the Services for as long as these Creator Terms are in effect. You're welcome, and encouraged, to link to your Project Pages and your Creator Space from your video descriptions, social media accounts, website, and anywhere else you share your work.
Keep your sign-in details to yourself; you're responsible for activity in your Creator Backoffice. Changes you make there might be reviewed by us before they go live, and we may correct or remove anything on your Project Pages or Creator Space that we believe is inaccurate, unsafe, or against these Creator Terms or the law.
3. Your content and our right to use it
You keep ownership of your content. Your videos, images, photographs, graphics, text, product specifications, and anything else you create or give us (your "Creator Content") remain yours.
You give Spetz the right to use it. By accepting these Creator Terms, you grant Spetz a worldwide, non-exclusive, royalty-free, transferable, and sublicensable (to our service providers and partners acting on our behalf) license to use your Creator Content, and your name, channel name, handles, likeness, voice, logos, and profile and channel images (your "Creator Identity"), to:
- access, copy, store, display, embed, and stream your Creator Content on the Platform and our website;
- adapt it and create works based on it, such as transcripts, summaries, step-by-step guides, tool and material lists, images, video clips, and AI-generated answers and visuals;
- operate, provide, maintain, and improve the Platform and the Services; and
- promote Spetz and your projects, including on our website, social media, emails, advertising, and presentations to partners and investors, and identify you publicly as a Spetz creator.
We don't need to ask for further permission, written approval, or notice before using your Creator Content or Creator Identity in these ways, and no payment is due to you for it. This license lasts while you take part in Spetz. After you leave, we'll stop publishing your Project Pages and Creator Space as described in section 9, but we may keep copies for legal and record-keeping purposes, and we don't have to withdraw marketing materials that were already published.
What you promise us. You confirm that you own your Creator Content, or have all the rights and permissions needed (including for any music, footage, or other material by third parties in it) to grant this license, and that our use of it as described here won't infringe anyone's rights or break any law. If that turns out not to be true, you agree to cover the reasonable costs and losses we incur from claims arising from it.
4. Shopping links and your affiliate details
Project Pages show links to retailers where viewers can buy the tools and materials. If you add your affiliate or creator-program details in your Creator Backoffice, we'll apply them to the shopping links for that retailer where our Platform supports it. We don't guarantee that any link earns a commission, that a retailer credits a purchase, or any level of sales. You're responsible for following the rules of your affiliate and creator programs and for any disclosures the law requires of you (for example, the U.S. FTC's endorsement guidelines). Where you haven't added details for a retailer, we may show that retailer's links without them.
5. AI-generated content
Much of what the Platform produces is generated automatically from your video with AI tools. It can contain mistakes, such as a wrong measurement, a missed step, or an unsuitable product. We work to keep it accurate, and you can review your projects and suggest corrections in your Creator Backoffice, but neither of us can guarantee it is error-free. Viewers are told that they build at their own risk and are responsible for their own safety.
6. Feedback
We'd love to hear what you think. If you send us ideas, suggestions, or feedback about the Platform or the Services, we may use them freely, without any obligation to you.
7. Spetz's property
Spetz owns the Platform and the Services, including their software, design, and features, the way your content is structured and presented on them, our trademarks, and all improvements to any of these, along with all related intellectual property rights. This doesn't include your Creator Content, which stays yours as set out in section 3. You agree not to copy, modify, create works based on, decompile, disassemble, reverse engineer, or try to extract the source code of the Platform or the Services, or any part of them.
8. Fees
Joining Spetz and using the Platform as a creator is free of charge. If we ever introduce paid features or services for creators, we'll tell you in advance, and you won't be charged for anything unless you agree to it.
9. Leaving Spetz
You can stop taking part at any time by emailing us at connect@spetz.ai. We may also end your participation, or suspend or remove any of your projects, at any time, including if you break these Creator Terms; where reasonable we'll give you 14 days' notice. When your participation ends, your right to use the Platform ends, and we'll take down your Project Pages and Creator Space within a reasonable time (normally within 30 days). Sections 3 (as it applies after you leave), 5, 6, 7, 10, 11, and 13 continue to apply after your participation ends.
10. Confidentiality
Your Creator Backoffice may show you information that isn't public, such as analytics, features we're still testing, and how the Platform works. Please keep it confidential and use it only to take part in Spetz. We'll handle the non-public information you give us, such as your contact and payment details, under our Privacy Policy. This doesn't apply to information that is already public through no fault of the receiving party.
11. Disclaimer and limitation of liability
THE PLATFORM AND THE SERVICES ARE PROVIDED "AS IS," "WITH ALL FAULTS," AND "AS AVAILABLE." SPETZ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, AND DOES NOT PROMISE THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR PRODUCE ANY PARTICULAR RESULT, AUDIENCE, OR EARNINGS. TO THE FULLEST EXTENT PERMITTED BY LAW, SPETZ WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST COMMISSIONS, OR LOST DATA), HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF SPETZ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU AGREE THAT THIS IS A REASONABLE ALLOCATION OF RISK.
12. Changes to these Creator Terms
We may update these Creator Terms as Spetz grows. If we make a material change, we'll let you know by email or in your Creator Backoffice before it takes effect. If you keep taking part after the change takes effect, you accept the updated Creator Terms; if you don't agree, you can leave as described in section 9.
13. General
These Creator Terms, together with our Terms of Service and Privacy Policy, are the entire agreement between you and Spetz about your participation as a creator and replace any earlier understanding about it. If you have signed a separate written agreement with Spetz (for example, a design partnership agreement), that agreement governs where it conflicts with these Creator Terms. You may not transfer your rights or obligations under these Creator Terms without our written consent; we may transfer ours as part of a merger, acquisition, or sale of all or substantially all of our business or assets. If any part of these Creator Terms is found unenforceable, it will be changed only as much as needed to make it enforceable, and the rest stays in effect. Our not enforcing a provision is not a waiver of it. These Creator Terms are governed by the laws of the State of Israel, without regard to its conflict-of-laws rules, and the competent courts of Tel Aviv-Jaffa have exclusive jurisdiction over any dispute arising from them.
